Federal Purchase Order / Contract Terms & Conditions

Indemnity

Contractor hereby assumes and agrees to indemnify and hold harmless Navy Federal Credit Union, its agents and employees and any assignee of Navy Federal, from and against any and all losses, damages, injuries, claims, demands, expenses including legal expenses of whatsoever kind and nature and loss of profits, arising out of, or in connection with Contractors performance under the contract.

At all times during performance under this contract, Contractor shall maintain with Navy Federal a current Certificate of Insurance providing for thirty (30) days prior written notice to Navy Federal by the insurance company of cancellation or material change in coverage.

Health and safety: All items to be supplied hereunder by Contractor shall conform in all respects to the requirements of applicable insurance and governmental regulations, including those administered by OSHA.

Compliance with Law: Contractor shall comply with all applicable Federal, State and Local Laws, Rules and Ordinance.

Events not within control of Navy Federal: If, by reason of fire, earthquake, flood, explosion, inability to secure workmen, shortage of raw materials or transportation, act of any recognized public enemy of the United States of America or any act of GOD, Contractor is delayed in performing the services of this contract as specified , Navy Federal may, by giving ten (10) written day notice:

  1. Cancel this contract in whole.
  2. Suspend this contract in part, for delivery of services during the continuance of and to the extent of such case.

Publicity

Contractor shall not disclose the cost or condition of this contract to any person to whom such information is not necessary in performance under said contract. Failure by Contractor to observe this provision may lead to the deletion of Contractor from Navy Federal's approved contractor's listing for this type service.

Construction/Renovation

All work to be completed in a good workmanlike manner in compliance with all National, State and Local codes, laws and regulations using accepted practices and methods for the trades and skill involved, Contractor shall remove all trash surplus materials and leave all work areas broom clean.

Independent Contractor

It is understood by all concerned that Contractor is an independent contractor and is not an agent or employee of Navy Federal.

ALL INVOICES MUST BE ITEMIZED TO CORRESPOND TO THE PURCHASE ORDER. FAILURE TO DO SO WILL DELAY PAYMENT PROCESSING TIME.
